Terms and conditions

This Contributor Agreement (Agreement) is hereby made by and between you (Contributor) and TapTab, and contains the terms and conditions that apply to Contributor’s use of the Platform (as defined below) offered by TapTab at www.taptab.info and its corresponding mobile apps on the Android and iOS platform (Website, together with the Platform, the Services).
BY CLICKING ON THE “ACCEPT” BUTTON, CONTRIBUTOR HEREBY REPRESENTS AND WARRANTS THAT IT IS DULY AUTHORIZED TO ENTER INTO AND BIND CONTRIBUTOR TO THE TERMS AND CONDITIONS OF THIS AGREEMENT AND ACKNOWLEDGES AND AGREES THAT ALL SUCH USE BY CONTRIBUTOR IS SUBJECT TO SUCH TERMS AND CONDITIONS. IF CONTRIBUTOR DOES NOT AGREE TO THESE TERMS, DO NOT CLICK THE ACCEPT BUTTON.

Account Registration.

To sign up for the Services, you may register for a personal user profile (Profile). You must provide accurate and complete information and keep your Profile information updated. You shall not select or use as a username a name: (a) of another person with the intent to impersonate that person; (b) subject to any rights of a person other than you without appropriate authorization; or (c) that is otherwise offensive, vulgar or obscene. You are solely responsible for the activity that occurs on your Profile, and for keeping your account password secure. You may never use another person’s user Profile or registration information for the Services without permission. You must notify us immediately of any breach of security or unauthorized use of your Profile. You should never publish, distribute or post login information for your Profile.

Platform Service.

Subject to Contributor’s full compliance with the terms and conditions of this Agreement, TapTab hereby grants Contributor a non-exclusive, non-transferable, non-sublicensable license to use TapTab’s messaging platform whereby Contributor can communicate with the businesses listed on the platform; or as a business, to communicate with users on the platform. TapTab shall retain the right to publish, translate and otherwise disseminate Contributor’s suggested or produced content for any purposes. Contributor hereby expressly acknowledges and agrees that TapTab shall have the right to view and publicize the messages sent between users of the service. Messages on this platform are not, as of July 2017, end-to-end encrypted and users recognize that this is so TapTab can view these messages to better service the user by making sure the messages are replied to.
TapTab shall retain the right to offer content and services of the Contributor to third parties in its sole discretion. Except for the limited rights and licenses expressly granted to Contributor herein, no other license is granted, no other use is permitted and TapTab (and its licensors) shall retain all rights, and interests (including all intellectual property and proprietary rights) in and to the Platform and the Services.

Intellectual Property Rights

Intellectual Property Rights includes, without limitation, all patent rights, copyright rights, trademark rights, moral rights, publicity rights, privacy rights and any other intellectual property rights or similar rights anywhere in the world. The Contributor agrees that upon joining TapTab, the use of their logo or other corporate identity will be used for identification purposes only.

Confidentiality

Contributor agrees that the business, technical and financial information of TapTab or any Third Party, that is designated in writing as confidential, or is disclosed in a manner that a reasonable person would understand the confidentiality of the information disclosed, shall be the confidential property of TapTab or Third Parties as the case may be (Confidential Information). Contributor will hold in confidence and not disclose any Confidential Information and shall similarly bind its employees, consultants, and independent contractors and will use the Confidential Information only for the purpose for which it was disclosed.

Termination

TapTab may terminate Contributor’s access to all or any part of the Services at any time, with or without cause, with or without notice. Contributor may terminate his/her Profile by following the instructions on the Website or through the Services.

Limitation of Liability

IN NO EVENT SHALL TAPTAB, NOR ITS DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR SUPPLIERS, BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR ANY OTHER LEGAL OR EQUITABLE THEORY WITH RESPECT TO THE SERVICES (I) FOR ANY LOST PROFITS, DATA LOSS, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, COMPENSATORY OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER, SUBSTITUTE GOODS OR SERVICES (HOWEVER ARISING), (II) FOR ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE (REGARDLESS OF THE SOURCE OF ORIGINATION), OR (III) FOR ANY DIRECT DAMAGES IN EXCESS OF (IN THE AGGREGATE) OF THE AMOUNTS PAID HEREUNDER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Miscellaneous

Governing Law and Jurisdiction. This Agreement shall be governed by and construed in accordance with the laws of England, including its conflicts of law rules. Contributor agrees that any dispute arising from or relating to the subject matter of this Agreement shall be governed by the exclusive English jurisdiction.
Force Majeure. TapTab shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond its reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation.
Publicity. TapTab shall retain the right to use, publish and otherwise disseminate Contributor’s name, byline, logo, and likeness in TapTab’s marketing material and on the Website or Platform, for promotional purposes and for any other lawful purpose.
No Waiver. TapTab’s failure to enforce any part of this Agreement shall not constitute a waiver of TapTab’s right to later enforce that or any other part of this Agreement.

Third Party Beneficiaries

The parties acknowledge that the covenants set forth in this Agreement are intended solely for the benefit of the parties hereto and their successors and permitted assigns. Nothing herein, whether express or implied, shall confer upon any person or entity, other than the parties hereto, their successors and permitted assigns, any legal or equitable right whatsoever to enforce any provision of this Agreement.
Data Collected
We collect anonymous data from every visitor of the Website to monitor traffic and fix bugs. For example, we collect information like web requests, the data sent in response to such requests, the Internet Protocol address, the browser type, the browser language, and a timestamp for the request.
We ask you to log in and provide certain personal information (such as your name and email address) in order to be able to save your profile and the documents and comments associated with it. In order to enable these or any other login based features, we use cookies to store session information for your convenience. You can block or delete cookies and still be able to use TapTab, although if you do you will then be asked for your username and password every time you log in to the Website. In order to take advantage of certain features of the Website, you may also choose to provide us with other personal information, such as your picture or personal website, but your decision to utilize these features and provide such data will always be voluntary.
You are able to view, change and remove your data associated with your profile. Should you choose to delete your account, please contact us at hello@taptab.info and we will follow up with such request as soon as possible.
Minors and children should not use TapTab. By using the Website, you represent that you have the legal capacity to enter into a binding agreement.

Use of the Data

We only use your personal information to provide you the TapTab services or to communicate with you about the services or the Website.
We employ industry standard techniques to protect against unauthorized access of data about you that we store, including personal information.
We do not share personal information you have provided to us without your consent, unless:
doing so is appropriate to carry out your own request;
we believe it’s needed to enforce our Terms of Service, or that is legally required;
we believe it’s needed to detect, prevent or address fraud, security or technical issues;
otherwise protect our property, legal rights, or that of others.
TapTab may contact you, by email or other means. For example, TapTab may send you promotional emails relating to TapTab or other third parties TapTab feels you would be interested in, or communicate with you about your use of the TapTab website. TapTab may also use technology to alert us via a confirmation email when you open an email from us. You can modify your email notification preferences by clicking the appropriate link included in the footer of email notifications. If you do not want to receive email from TapTab, please opt out of receiving emails at the bottom of any TapTab emails or by editing your profile preferences.
